Introduction

Welcome to VisFlip, a workspace for drafting and creating video and image concepts with AI (the “Service”). These Terms of Service (the “Terms”) apply to your access to and use of the VisFlip website, applications, accounts, workspaces, APIs, and related services.

By accessing or using the Service, you agree to these Terms, our Privacy Policy, our Cookie Policy, and our AI Content, Acceptable Use & Copyright Policy. If you do not agree with these Terms, do not access or use the Service.

VisFlip is an independent product. We may use external AI models, infrastructure, storage, identity, email, analytics, payment, and other service providers to operate different parts of the Service. Unless we expressly say otherwise, those providers do not own, operate, endorse, or sponsor VisFlip.

Service Scope

VisFlip provides tools for creating video and visual concepts from text prompts, uploaded images, videos, audio, and other supported reference materials. Depending on your account, plan, product configuration, and region, the Service may include different models, input types, output formats, generation settings, storage features, API access, credits, or other functionality.

Features, models, durations, resolutions, prices, credit costs, availability, and output quality may change. A control or description shown on a landing page, preview, or product page does not guarantee that a particular feature will be available to every user or remain available indefinitely.

AI and Third-Party Services

To provide video generation, the Service may send your prompts, uploaded reference files, generation settings, and related task data to external AI processing, hosting, and storage services selected for the relevant feature. We may also use external providers for infrastructure, identity, email, analytics, and payments. The providers used and the applicable provider terms may vary by feature, plan, account, region, and configuration.

You must not submit confidential information, trade secrets, payment credentials, or unnecessary sensitive personal information in a prompt, upload, support request, or other content. You are responsible for reviewing the terms and policies of any third-party service that applies to your use of an output or feature.

AI systems can produce inaccurate, incomplete, biased, unexpected, or similar results. An external processing service may reject, delay, alter, or limit a request under its own systems or policies. Outputs may contain errors or resemble existing works. You are responsible for reviewing every output before relying on, publishing, or distributing it. The Service is not professional legal, medical, financial, safety, or other expert advice.

Eligibility and Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use the Service. By using the Service, you represent that you meet this requirement and can enter into these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization.

Some features require an account. You agree to provide accurate, current information and keep it updated. You are responsible for safeguarding your password, API keys, invite codes, and other credentials, and for activity under your account. Notify us promptly at support@visflip.com if you suspect unauthorized access.

You may not create or use an account to evade a suspension, abuse trials or credits, misrepresent your identity, or access another person’s account without authorization.

Your Content and Outputs

Your inputs

You retain the rights you have in prompts, text, images, videos, audio, references, and other materials that you submit to the Service (“Inputs”). You represent and warrant that you have all permissions needed for us and our service providers to process the Inputs as described in these Terms, and that your Inputs do not violate any law or third-party right.

Permission to operate the Service

You grant VisFlip a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, adapt, and display your Inputs and related task data only as reasonably necessary to provide, secure, maintain, troubleshoot, moderate, and improve the Service, send a request to relevant external processing services, process your requested outputs, provide support, comply with law, and enforce these Terms. This permission continues for as long as needed for those purposes, including where copies are retained in backups or required records.

Outputs

As between you and VisFlip, and to the extent permitted by applicable law, VisFlip does not claim ownership of an output generated for you. Subject to these Terms, applicable law, and the rules of relevant external services, you may use those outputs for personal or commercial creative work. This permission does not:

  • guarantee that an output is eligible for copyright protection or exclusive to you;
  • grant you rights in a third party’s name, likeness, trademark, copyrighted work, or other material that appears in an output;
  • override a third-party model or provider’s terms, an applicable plan restriction, or applicable law; or
  • make VisFlip responsible for how you use, publish, or distribute an output.

You may edit, publish, distribute, license, and monetize an output as part of your own creative work, provided that you have the necessary rights to the Inputs and any third-party material included in the result. VisFlip does not promise that a particular output is exclusive, copyrightable, or cleared for every commercial use.

You are responsible for obtaining any permission required for a real person, brand, location, artwork, character, voice, music, logo, or other protected material included in your Inputs or outputs. You must not represent an AI-generated output as human-created where disclosure is required by law or by a platform on which you publish it.

The Service may store or make content available through a workspace or other feature. You are responsible for checking the visibility and sharing settings of any feature you use. Unless a feature expressly says otherwise, do not assume that the Service provides permanent storage, backup, exclusivity, or a public distribution channel for your content.

Acceptable Use

You agree to use the Service lawfully, responsibly, and in accordance with these Terms. You must not:

  • violate any applicable law, regulation, court order, or third-party right;
  • generate, upload, request, or distribute content that is illegal, fraudulent, defamatory, hateful, harassing, abusive, or intended to threaten or exploit another person;
  • generate, upload, request, or distribute violent, gory, or graphic imagery, including content that depicts or glorifies extreme violence, gore, or serious physical harm;
  • create or distribute child sexual abuse material, sexual exploitation of minors, or content that endangers or sexualizes children;
  • create or distribute non-consensual intimate imagery, deepfakes, face-swaps, impersonation, or deceptive synthetic media involving a real person without the permissions required by law;
  • submit or use another person’s personal data, image, voice, likeness, or biometric information without the permissions required by law;
  • infringe copyright, trademark, publicity, privacy, moral, or other intellectual-property rights, including by using third-party commercial characters or brands without authorization;
  • facilitate terrorism, violent extremism, weapons trafficking, evasion of law enforcement, or other serious wrongdoing;
  • create malware, phishing material, spam, scams, or content intended to compromise systems or deceive users;
  • reverse engineer, decompile, scrape, probe, overload, bypass rate limits, or attempt to gain unauthorized access to the Service or its underlying systems;
  • use automated means to access the Service except through an API or automation expressly provided or authorized by VisFlip;
  • resell, sublicense, lease, or commercially exploit the Service itself without our written permission; or
  • use the Service to build or train a competing model, dataset, or service, except where expressly permitted in writing.

We may use automated checks, human review, or reports to enforce these rules. We may remove content, refuse a request, limit functionality, suspend credits, or suspend or terminate an account when we reasonably believe that content or activity violates these Terms, creates risk, or may expose VisFlip or others to harm or liability.

For AI-specific content rules, safety review, and copyright reporting, see our AI Content, Acceptable Use & Copyright Policy.

Intellectual Property

The Service, including its software, interface, templates, documentation, branding, logos, design, and original content, is owned by VisFlip or its licensors and is protected by applicable intellectual-property laws. Except for the rights expressly granted in these Terms, no license or ownership right is granted to you.

You may provide feedback, suggestions, or ideas about the Service. You grant VisFlip the right to use that feedback without restriction or compensation, provided that we do not use it in a way that identifies you as the source without your permission.

Plans, Credits, and Payments

Prices and checkout

Prices, taxes, billing intervals, plan benefits, credit amounts, credit validity periods, and supported payment methods are shown on the current pricing or checkout page. VisFlip credits and prices are set by VisFlip and are independent of any external service's pricing or usage units. We may correct pricing errors, change plans or payment methods, or update prices with reasonable notice where required by law. The authoritative amount and benefits for a transaction are those confirmed at checkout and recorded in the applicable order.

Payments are processed by the payment provider shown at checkout. By completing a purchase, you authorize the applicable provider to charge the selected payment method for the confirmed amount, including applicable taxes and fees. We do not store full payment-card numbers on our servers.

Credits

Some features consume credits. Credit costs, expiration dates, and plan benefits are shown in the Service or at checkout. Credits are promotional or usage entitlements, not money, are not transferable, and cannot be exchanged for cash except where required by law. Credits may expire according to the applicable plan or product description.

If a generation or other paid operation is recorded as failed before an output is delivered, VisFlip will generally restore the relevant credits according to the Service’s task status and operating rules. A successful operation, including one whose output you do not like, may consume credits. A cancellation, timeout, provider rejection, or other unusual event may be reviewed using the recorded task status and provider response.

Subscriptions and cancellation

Unless the checkout page says otherwise, a subscription renews automatically for the selected billing interval until you cancel it. You can request cancellation through the available billing or account settings. Cancellation normally takes effect at the end of the current billing period, and you remain responsible for charges incurred before cancellation. Canceling a subscription does not by itself create a prorated refund.

Refunds

We generally provide refunds for duplicate or unauthorized charges, billing errors, failure to deliver a purchased core feature, material technical failures, or other circumstances required by applicable law. We generally do not refund a successfully completed generation because the result is subjective, differs from your prompt, or is not suitable for your intended use. Credits or subscription time already delivered or consumed are generally not refundable unless the circumstances require otherwise.

To request a refund, contact support@visflip.com with the account email, order or transaction ID, purchase date, reason for the request, and relevant evidence. Approved refunds are normally sent to the original payment method. The time for funds to appear depends on the payment provider and financial institution.

Suspension and Termination

You may stop using the Service at any time. You may request account or data deletion through the available account controls or by contacting support@visflip.com. Deletion may be subject to billing, security, fraud-prevention, dispute-resolution, backup, and legal-retention requirements.

We may suspend or terminate access, remove content, or stop providing a feature if you violate these Terms, create a security or legal risk, fail to pay applicable charges, or if we discontinue the relevant Service. Where practical, we will provide notice and an opportunity to resolve the issue, but we may act without advance notice when necessary to protect the Service, users, or the public.

After termination, your right to use the Service ends. Provisions that by their nature should survive termination—including those concerning Inputs, Outputs, payments, intellectual property, disclaimers, limitations of liability, indemnification, and disputes—will survive.

Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISFLIP DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND QUIET ENJOYMENT.

We do not guarantee that the Service or any model will be uninterrupted, secure, error-free, accurate, available in a particular location, or capable of producing a particular result. We do not guarantee that an output is unique, lawful, suitable for your purpose, or free of third-party rights. You use the Service and outputs at your own risk.

Limitation of Liability

To the maximum extent permitted by law, VisFlip and its licensors, providers, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising from or related to the Service or these Terms.

To the maximum extent permitted by law, VisFlip’s total liability for claims arising from or related to the Service or these Terms will not exceed the greater of the amount you paid to VisFlip for the affected Service during the twelve months before the event giving rise to the claim or USD 100. Nothing in these Terms limits liability that cannot be limited under applicable law or your non-waivable consumer rights.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless VisFlip and its licensors, providers, officers, employees, and agents from claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your Inputs, outputs, use of the Service, violation of these Terms, or infringement of another person’s rights.

Changes to These Terms

We may update these Terms to reflect changes to the Service, law, or our operating practices. We will post the updated version and change the date at the top of this page. If a change is material, we may provide additional notice where appropriate. Your continued use of the Service after the effective date means that you accept the updated Terms. If you do not agree, stop using the Service.

Miscellaneous

These Terms, together with documents expressly incorporated by reference, are the entire agreement between you and VisFlip about the Service and supersede prior terms on the same subject. If a provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them as part of a reorganization, merger, sale, or transfer of the Service.

These Terms do not remove any mandatory rights you have under the laws that apply to you. The parties remain independent contractors, and these Terms do not create a partnership, agency, employment, or joint venture.
